These Terms & Conditions ("Terms") govern your use of www.instacodesolutions.com and the services offered under the Instacode Solutions brand. Instacode Solutions is a brand / property of Firstroot Solution Private Limited, a company registered in India ("we", "us", "our"). By using this website or engaging our services, you agree to these Terms.

1. Services

We provide software development, website development, mobile app development, UI/UX design and digital marketing services. The exact scope, deliverables, timeline and price of any project are agreed in a separate written proposal, quotation or agreement, which forms part of these Terms.

2. Quotations & Payments

• All prices are quoted in Indian Rupees (INR) unless stated otherwise and may be subject to applicable taxes such as GST.
• Projects typically require an advance payment before work begins, with the balance payable at the milestones defined in the proposal.
• Invoices are raised by Firstroot Solution Private Limited. Payments once made are non-refundable except as expressly stated in the project agreement.

3. Client Responsibilities

You agree to provide accurate information, timely feedback, and any content, access or materials required to deliver the project. Delays in providing these may affect the agreed timeline.

4. Intellectual Property

Upon full and final payment, ownership of the final custom deliverables created specifically for you is transferred to you, unless agreed otherwise. We retain the right to reuse general know-how, frameworks, and pre-existing tools, and to showcase completed work in our portfolio unless you request otherwise in writing.

5. Third-Party Services

Projects may rely on third-party platforms, hosting, APIs or software. Their use is subject to the respective third party's terms, and we are not responsible for outages or changes made by those third parties.

6. Warranties & Limitation of Liability

We take reasonable care to deliver quality work. However, services are provided on an "as-is" basis to the extent permitted by law. Our total liability for any claim arising out of a project shall not exceed the amount paid by you for that project. We are not liable for indirect or consequential losses.

7. Confidentiality

Both parties agree to keep confidential any non-public information shared during a project and to use it only for the purpose of delivering the agreed services.

8. Termination

Either party may terminate a project as described in the project agreement. Fees for work completed up to the date of termination remain payable.

9. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Indore, Madhya Pradesh, India.

10. Changes to These Terms

We may update these Terms from time to time. The latest version will always be available on this page.
